Boonie Riders 4WD Club, Inc.

 

Club Purpose

 

  1. To promote the sport and pastime of four wheel drive travel in all its phases.
  2. To enjoy and protect the natural resources and support the Multiple Use Principle as applied to the public.
  3. To follow the principles of the Tread Lightly program
    1. Travel and Recreate with minimum impact
    2. Respect the environment and the rights of others
    3. Educate yourself, plan and prepare before you go
    4. Allow for future use of the outdoors; leave it better than you found it
    5. Discover the rewards of responsible recreation
  4. To promote interest in the ownership and driving of four wheel drive vehicles.
  5. To offer rewards and prizes for various accomplishments of the members of the club.’
  6. To promote, organize, and hold; outings, meetings, runs, excursions, reliability trials, hill climbs, cross-country trips, and similar events.
  7. To assist, on a voluntary basis, and as needed, law enforcement and emergency agencies.

 

Club Constitution (by laws)

 

Article I

 

  1. This organization shall be known as the Boonie Riders 4WD Club, Inc.

Article II

Objectives

The Boonie Riders 4WD Club, Inc. is organized as a non-profit organization for the purpose of:

    1. Providing social, recreational, and educational activities for its members.
    2. Participating in and supporting civic activities for the betterment of the community.

                                                    Article III

      Membership and Dues

1.        Owners of four-wheel drive vehicles are eligible for membership in the Boonie Riders 4WD Club, Inc.

a.        Membership will be classified as single or family. Family membership allows for a spouse, girlfriend, boyfriend, children, or any combination of these.

2.        All club members must conduct themselves in a responsible and orderly fashion, whether in or out of Club activities. Any members disgracing themselves in the public eye will be subject to immediate expulsion, pending decision by the Board of Directors.

3.        A member in good standing must introduce an applicant for membership.

4.        New applicants for membership/ renewal of membership must be at least 18 years of age, show proof of insurance (minimum state requirement), a valid drivers license, and pays his or her dues within 30 days of the due date.

5.        Applicants for membership must attend at least one regular meeting, and one activity before being eligible for acceptance.

6.        The Board of directors shall determine dues for this organization, each year, as needed. The membership fee will include:

a.        Membership in the Indiana Four Wheel Drive Association.

b.      Membership in the United Four Wheel Drive Associations.

c.        By- monthly newsletters from the Boonie Riders 4WD Club, Inc.

d.       Any money left over will be kept in the club checking account to help pay for expenses.

In addition, the following items will be made available to club members:

1.        Club logo shirts.

2.        Club logo jackets

3.        Club vehicle stickers

7.        Members shall notify the Membership Director upon a change of address, telephone number, or e-mail address.

8.        Members who no longer possess a four-wheel drive vehicle shall be removed from the roster of this organization, per decision of the Board of Directors.

9.     Membership shall be defined as any club member who attends at least 2/3 of club meetings, and who participates in at least 4 Club activities per year.

Article IV

Charter Members

1.        Members who adopt and sign the club constitution of the Boonie Riders 4WD Club, Inc. on or before January 1st, 1999, shall be known as Charter Members of the organization.

Article V

 

1.        Meetings of the membership of the Boonie Riders 4WD Club, Inc. shall be held monthly, or as needed, at such times and places as decided be club members in attendance at the previous meeting.

2.        Members in attendance shall constitute a quorum for a membership meeting.

Article VI

Administration and Officers

1.        The officers of the Boonie Riders 4WD Club, Inc. shall consist of a President, Vice President, Treasurer, Secretary, Membership Director, Events Coordinator, Publicity Director, and Newsletter Editor. They shall be known as the Board of Directors. It shall be their duty to draw up agenda for all board and membership meetings.

a.        Additional positions may be added, as needed, at the discretion of the Board of Directors.

b.       It shall be their further duty to conduct the day-to-day business of the club; to take actions as best fulfills the goals of the organization, and to audit the books of the previous administration. Directors shall meet once a month, and 4 members shall constitute a quorum of that body.

2.        The President, Vice President, Treasurer, Secretary, Membership Director, Events Coordinator, Publicity Director, and Newsletter Editor may succeed themselves in office.

Article VII

Duties and Powers of Officers

1.        The President shall preside over all membership meetings and all Board of Director meetings, and be present at all events, when possible. He/ she shall be the Executive Officer, and shall have the duty to carry out the policies and decisions of the Board of Directors. He/ she shall be without the power to vote, except for in the event of a tie.

2.        The Vice President shall, in the absence of the President, serve in that capacity. He/ she will also perform such other duties as may be assigned by the Board of Directors.

3.        The Secretary shall keep and preserve all records and minutes of the regular membership, and Board of Director meetings. He/ she shall assume the responsibility of ledger, and role call.

4.        The Treasurer shall keep accurate and complete records of the funds and accounts of this organization, collect all dues, and maintain a record thereof. He/ she shall make only such disbursements from the funds of the organization as directed by the Board of Directors.

5.        The Membership Director shall keep a file system of membership and receive and answer all general correspondence pertaining to the organization.

6.        The Events Coordinator shall assist in planning trips, events, outings and runs by helping to generate feedback and communication between the Board of Directors and the membership.

7.        The Newsletter Editor shall be in charge of publishing the Club’s newsletter on a by monthly basis, in a timely manner. He/ she shall also oversee the collection of content from the other board members, and general membership. He/ she shall have final say in what goes into print, and what does not.

8.        The Publicity Director shall be in charge of overseeing development of relationships with property owners whom will allow the club to use their land for recreation. He/ she shall also develop relationships with local, regional, and national businesses to obtain sponsorship, and door prizes.

Article VIII

Expenditure and Finance

1.        All monies received from sources must immediately be turned over to the Treasurer to be deposited in the club account.

2.        No withdrawal shall be made without approval of at least 5 members of the Board of Directors.  All expenditures in excess of $75.00 must have the approval of the majority of the voting quorum of the membership. All expenditures shall be made by check, and the items for which each check is written shall be identified on the face or reverse side thereof. If funds for more than one purpose are included, they shall be itemized separately, stating the amount for each.

Article IX

Committees

1.        The Board of Directors shall determine committees.

 

Article X

Elections

1.        The membership shall meet and elect officers for the next term at the regular October meeting. All those elected shall take office on January 1st. Voting shall be in person, and not by proxy, or mail.

2.        Candidates may nominate themselves, or be nominated by another member. Nominees by other members have the right to refuse candidacy.

3.        Balloting for each office shall be in separate successive sequences, and will be held by secret ballot. All ballots for offices must be counted and checked by 3 members, other than the nominees. All ballots will be held for 30 days.

4.        A majority of votes cast is necessary for election to an office or position on the Board of Directors.

5.        In the event of a vacancy on the Board of Directors, an election shall be held to determine a successor.

Article XI

Recall

1.        Any officer or Director of the Boonie Riders 4WD Club, Inc. may be recalled by a 2/3-majority vote of the entire membership.

Article XII

Events

1.        All events shall be subject to approval of the Board of Directors.

2.        All events must be conducted in an orderly fashion, with safety as a primary concern. Any event held on private property will be subject to liability release.

3.        All members and guests participating in an event shall abide by the Motor Vehicle Code of the State concerned, and the laws of the City, County, or the circumstances involved. The welfare and reception of the Club depends upon the character it gains with the City, County, State, and Federal Authorities. We are not irresponsible drivers. Any flagrant violation of the codes is sufficient grounds for removal of membership privileges, subject to decision by the Board of Directors.

4.        No alcoholic beverages shall be allowed during events where vehicular activity will be present, as a safety concern. Consumption of alcohol during regular club meetings will be allowed, unless the consumer becomes rowdy, or otherwise causes a disturbance.

5.        The use or possession of any illegal drugs, or paraphenalia thereof during ANY club function shall be grounds for immediate, and permanent removal from the club roster. There is no recourse to this action. The offending member shall not be allowed to rejoin the club ever again.

6.        Events shall be defined as contests, competitions, tournaments, and games. Events are open to the public. Activities shall be defines as an endeavor, enterprise, or venture. Potential members are usually invited to activities, and they are not open to the public. A function shall be defined as a party, entertainment, festivity, banquet, or social gathering. It should be decided by the membership as to whether or not potential members/ guests are invited to certain events at the time of the events inception.

7.        All members, including the President, Vice President, Secretary, Treasurer, Safety Director, and Public Relations Director shall be responsible to the direction of the appointed committee head and his/ her appointed assistants from the set time of the beginning of an event to the termination of the event.

 

 

Article XIII

 

Rules and Procedures

 

1.        Unless otherwise stated in these by- laws, Robert’s Rules of Order Revised shall govern parliamentary procedure.

 

Article XIV

 

Amendments

 

1. A two- thirds (2/3) majority at the regular January and June meetings may amend these by laws, a quorum being present and voting. Any proposed amendment to the by laws must be submitted to the Board of Directors in writing no less than one month prior to the meeting in which it will be voted on. Discussion of proposed changes to the by laws shall be permitted at any regular or Board of Directors meeting.
